§ 3532. Organization and governance

(a) The endeavors and decisions of the College shall be governed, firstly, by valid resolutions and agreements of its General Assembly; and secondly, by the valid determinations and agreements of the entities governing the institution.

(b) The first Board of Directors of the College shall be elected in the Constitutive Assembly, by secret vote, to be cast by the persons present. Said Board of Directors shall be composed, at the least, of a chair, a vice-chair, a secretary, a deputy secretary, a treasurer, a deputy treasurer, and three vocals. Thereafter, the members of the Board of Directors shall be elected in General Assembly, pursuant to the proceedings that the College may establish in its bylaws.

(c) The bylaws of the College shall provide on all matters as necessary for the strict compliance with the purposes for which the College is established, including, among other things, all matters relative to the composition and names of the entities governing the College; the procedures for admission; the functions, duties and proceedings of all of its component entities and officers; calls to meeting, the date, the quorum, the form and the requirements for general or special assemblies and the sessions of the entities governing the College; the election of directors and officers; the committees; the terms of all offices; vacancies and the manner in which they shall be filled; the budget; the investment of funds and the property arrangements of the College. Furthermore, the bylaws shall provide for the College to hold at least one regular assembly each year. The terms for the Board of Directors, including for the Chair and Vice-Chair, shall not exceed two (2) terms of two (2) consecutive years.
