§ 1160. Board of Trustees—Lack of quorum

Should a meeting be convoked and it is not possible to hold it for lack of a quorum, it shall be recorded in the minutes, and a new meeting shall be convoked immediately, to be held within the next ten (10) days, for the same purposes. At said meeting, seven (7) members of the Board shall constitute a quorum and its agreements shall be valid with the vote of six (6) of its members.

Should there be a lack of a quorum on this second occasion, the Secretary shall record it in the minutes and the Chairperson shall proceed with the meeting and the matters to be discussed therein; the members attending shall constitute the quorum, and the decisions made in the meeting shall be valid with the majority vote of the members present.
