The Board shall hold at least one (1) quarterly meeting whenever there are matters to be considered. It shall also hold as many special meetings as necessary for the prompt processing of all matters, with prior calls to its members issued at least twenty-four (24) hours in advance. Three (3) Board members shall constitute quorum to consider any matter within its jurisdiction, and its decisions shall be adopted by a majority vote of the members present.
