The Board shall hold meetings at least twice a year for the consideration and resolution of its matters, but it may meet as many times as it may be necessary for the prompt transaction of its acts and duties.
(b) Three (3) members of the Board shall constitute a quorum. All resolutions of the Board shall be taken with the affirmative vote of at least three (3) of its members.
(c) The members of the Board, including public employees and officers, shall receive a per diem at a rate of fifty dollars ($50) per day or fraction thereof that they attend a meeting. They shall be entitled to reimbursement for traveling expenses incurred in the performance of the duties pursuant to the regulations of the Department of the Treasury of Puerto Rico. The member of the Board representing the Secretary of the Department of Transportation and Public Works shall only be entitled to reimbursement of traveling expenses, as indicated. Provided, That the payment for per diems or mileage to which each member of the Board is entitled to shall [be limited] to a maximum of twelve (12) meetings per year. As of July 1, 1999, the members of the Board shall receive per diems equal to the minimum per diem established for members of the Legislature, up to a maximum of three thousand dollars ($3,000) per year, except for the Chairperson of the Board who shall receive per diems equal to one hundred and thirty-three percent (133%) of the per diems received by the remaining members of the Board.
