Section 69W-500.016 - Exemption for Issuers of Section 4(a)(2) Offerings

Securities offered or sold in a transaction exempt under a rule or regulation issued by the Securities and Exchange Commission under section 4(a)(2) of the Securities Act of 1933 (15 U.S.C. § 77d(a)(2)), which is incorporated by reference in Rule 69W-200.002, F.A.C., are hereby exempted from the filing requirements of Section 517.07, F.S. An issuer of such securities and each of its bona fide employees who satisfy the criteria set forth in Section 517.021(8)(g), F.S., and through whom the issuer elects to sell such securities, shall be exempted from the registration requirements of Section 517.12(1), F.S.
