Rule 10-B3205 - OFFERING WITHOUT PROSPECTUS

3205.1

If the Director determines that appropriate circumstances exist, he or she may authorize the site to be offered other than through a prospectus.

3205.2

The form and content of each offering document issued under this section shall be reviewed and approved by the Director.

3205.3

The Director's determination that an offering should be made without the issuance of a prospectus shall be based on the following factors:

(a) The size of the site to be offered;

(b) The use(s) to which the site is to be put;

(c) The size and extent of the market for the site; and

(d) The existence of exigencies warranting a shorter marketing period.
