Section 113.10 - Effective Time and Date(1) Articles of organization, amendment and merger are effective at the time and on the date received unless the filing is rejected and written notice is provided to the submitter within five days of receipt. If the above documents are delivered in person before the Filing Room is open for business, or after the close of business, or on a day the filing office is not open for business, the document will be deemed received at the time and on the date the filing office is next open for business. If any of the above documents are delivered by mail and properly addressed, the time and date of receipt is the time and date the mail is opened, but not later than the close of business on the day of receipt. If the envelope is not properly addressed, the time of receipt will be the time and date the mail is opened.(2) All other documents are effective at the time and on the date approved by the Division.(3) Notwithstanding the foregoing, a document may specify a delayed effective time and date not later than the 90th day after the date it was received for filing by the Division. If a delayed effective date but no time is specified, the document is effective at the close of business on that date.
