Section 24.03A.385 - Delegates(1) A membership corporation may provide in its articles or bylaws for delegates.(2) The articles or bylaws may set forth provisions relating to:(a) The characteristics, qualifications, rights, limitations, and obligations of delegates including their selection and removal;(b) Calling, noticing, holding, and conducting meetings of delegates; and(c) Carrying on activities during and between meetings of delegates.(3) If the articles or bylaws provide for delegates, then, unless otherwise provided in the articles or bylaws: (a) The power to appoint, remove, or modify any provision of the articles or bylaws governing the appointment or removal of delegates is reserved to the members.(b) All other powers of members including, but not limited to, the right to vote on other amendments to articles or bylaws, may be exercised by delegates.
