An unauthorized signature placed on a security certificate before or in the course of issue is ineffective, but the signature is effective in favor of a purchaser for value of the certificated security if the purchaser is without notice of the lack of authority and the signing has been done by:

Oklahoma Code Comment
Section 8-205 governs the effect of an unauthorized signature on a security certificate, providing generally that the signature is ineffective, but it will be effective in favor of a purchaser without notice if the signature was made by either the issuer's employee or a person entrusted with certain responsibilities by the issuer. Cf. UCC §§ 2-403, 3-405.
