Section 8-113 - Statute of Frauds Inapplicable

A contract or modification of a contract for the sale or purchase of a security is enforceable whether or not there is a writing signed or record authenticated by a party against whom enforcement is sought, even if the contract or modification is not capable of performance within one (1) year of its making.

Oklahoma Code Comment

Section 8-113 repeals the statute of frauds in former Section 8-319 and indicates no other statute of frauds is applicable, following the lead of other UCC sections that eliminate the need for a writing in cases where such a requirement is an unnecessary obstacle to legitimate transactions. See, e.g., UCC §§ 2-204, 2-206, 2-209 and 2A-208. Cf. UCC §§ 2-201 and 2A-201.
