Section 88A.250 - Certificate of amendment, restatement or cancellation and articles of merger: Filing and effectiveness of certificates and articles1. A certificate of amendment or restatement filed with the Secretary of State pursuant to this chapter is effective: (a) At the time of the filing of the certificate or restatement with the Secretary of State;(b) Upon a later date and time as specified in the certificate, which date must not be more than 90 days after the date on which the certificate or restatement is filed with the Secretary of State; or(c) If the certificate or restatement specifies a later effective date but does not specify an effective time, at 12:01 a.m. in the Pacific time zone on the specified later date. At the effective time of the certificate or restatement, the certificate of trust is amended or restated as set forth in the certificate or restatement.
2. A certificate of cancellation or the articles of merger in which the business trust is not a surviving entity are effective: (a) At the time of the filing of the certificate or articles with the Secretary of State;(b) Upon a later date and time as specified in the certificate or articles, which date must not be more than 90 days after the date on which the certificate or articles are filed with the Secretary of State; or(c) If the certificate or articles specify a later effective date but do not specify an effective time, at 12:01 a.m. in the Pacific time zone on the specified later date. At the effective time of the certificate or articles, the certificate of trust is cancelled.
