Section 82.476 - Receivers or trustees for insolvent corporations: Appointment; powers and duties1. The district court, at the time of ordering the injunction upon petition of the creditors or members, or at any time afterward, may appoint a receiver or receivers or a trustee or trustees for the creditors and members of the corporation.2. Receivers or trustees have the following powers and duties:(a) To demand, sue for, collect, receive and take into possession all the goods and chattels, rights and credits, money and effects, lands and tenements, books, papers, choses in action, bills, notes and property, of every description, of the corporation;(b) To institute suits at law or in equity for the recovery of any estate, property, damages or demands existing in favor of the corporation;(c) In their discretion to compound and settle with any debtor or creditor of the corporation, or with persons having possession of its property or in any way responsible at law or in equity to the corporation at the time of its insolvency or suspension of business, or afterwards, upon such terms and in such manner as they deem just and beneficial to the corporation;(d) In case of mutual dealings between the corporation and any person to allow just setoffs in favor of that person in all cases in which setoffs ought to be allowed according to law and equity;(e) To take possession of the property of the corporation as provided in NRS 78.665;(f) To take inventory, account for debts and report to the courts every 3 months as provided in NRS 78.670;(g) To pass upon the claims of creditors as provided in NRS 78.685;(h) To be substituted in as a party to suits as provided in NRS 78.695; and(i) To be vested with the property of the corporation as provided in NRS 78.640.3. An act approved or done by a majority of the receivers or trustees is the act of the receivers or trustees.4. A debtor who in good faith has paid a debt to the corporation without notice of its insolvency or suspension of business is not liable therefor, and the receiver or receivers or trustee or trustees have power to sell, convey and assign all the estate, rights and interests, and must hold and dispose of the proceeds thereof under the directions of the district court.Added to NRS by 1991, 1288Added to NRS by 1991, 1288
