A stockholder of a stock insurer shall be liable for the insurer’s debts and obligations only to the extent of the amount, if any, remaining unpaid on his stock subscription, but subject to the provisions of § 2812 of this title as to expenses and obligations incurred during organization. A stockholder shall not be relieved of any such liability by transfer or assignment of his stock or by merger or consolidation of the insurer with another.
