§ 2378. Faculties

The College shall have the faculty to:

(a) Persist in perpetuity under said name.

(b) To sue and be sued as a juridical person.

(c) Own and use a seal which may be altered at will.

(d) Adopt its bylaws which shall be compulsory for all its members and amend them in the manner and under the requirements provided therein.

(e) Acquire rights and personal and real estate; and sort of any funds through donations, bequests, contributions among its own members, purchase, transfers, cession, subsidies, advances, loans or in any other legal manner, from the Commonwealth of Puerto Rico as well as the federal government, or their agencies, or from private persons or entities; and may own, mortgage, lease, administer and dispose of said assets in a legal manner and pursuant to its regulations.

(f) Appoint its directors and officers or officials who shall constitute the Governing Board of the College.

(g) Protect its members in the practice of their profession, through the creation of widows’ and orphans’ funds, insurance systems and special funds or in any other legal manner; help those college members who are unemployed, assist those members who retire for physical disability or old age, and to the heirs or beneficiaries of members who die, provided the College has the needed resources.

(h) Adopt and implement, in coordination with the Examining Board, the canons of professional ethics that shall govern the conduct of the college members.

(i) Receive and investigate the complaints stated under oath respecting the conduct of its members in the practice of their profession, being able to remit them to the Governing Board so that it may take action after a preliminary hearing in which the complainant or his legal counsel is allowed to bring his own witnesses and be heard. In the event that just cause is found, the corresponding disciplinary procedure before the Examining Board of Health Services Administrators of Puerto Rico shall be followed. Nothing of what is provided herein shall be construed as limiting or interfering with the faculty of the Examining Board to conduct its own investigation.

(j) Offer educational and guidance programs to the community. Finance and initiate scientific research programs that may contribute to the improvement of the administration of health services in Puerto Rico.

(k) Offer continued education programs according to the needs of the health system of Puerto Rico and its college members.

(l) Establish relationships or affiliations with similar entities in Puerto Rico, the United States, as well as in any other part of the world.

(m) Assume the professional representation of all Health Services Administrators of Puerto Rico licensed by the Examining Board, and to speak on their behalf and in their representation, according to the terms of this chapter and of the regulations approved hereunder.

(n) Exercise any incidental powers that are necessary or convenient and which are not in disagreement with this chapter.
