§ 91d. Board of Directors

The powers, rights and duties of the Corporation shall be exercised and its operational and administrative policy shall be determined by a Board of Directors which shall be presided over by the Secretary of Natural and Environmental Resources. In addition to its chairman, it shall be composed of six (6) members appointed by the Governor with the advice and consent of the Senate in the following manner: two (2) members shall be appointed for term of two (2) years; another two (2) members for the term of three (3) years and the other two (2) members for the term of four (4) years. On the expiration of the terms of the members appointed, the Governor shall appoint their successors for the term of four (4) years. Any vacancy in said offices shall be filled in the same manner by appointment of the Governor, for the unexpired term thereof, within the period of sixty (60) days after the date of the vacancy. Unless previously removed from their offices by the Governor, all directors shall hold office for the term of their appointments and until their successors are appointed and qualify. Four (4) members of the Board, including its chairman, shall constitute a quorum for the conduct of their business and any other purpose and all action shall be taken by at least four (4) members, one of whom shall be the chairman.
