§ 3023. Organization and trade name

(a) Corporation or trust. — A capital investment fund which is a corporation or a trust shall be organized according to the laws of Puerto Rico.

(b) Partnership. — A capital investment fund may be constituted as a partnership according to the laws of Puerto Rico or any of the states of the United States of America, provided, in the case of a foreign partnership, that it is treated as a “partnership” and not as a corporation or association that is taxable as a corporation, for the purposes of the United States Internal Revenue Code of 1986, as amended.

(c) Trade name. — Each fund shall be constituted with a name or trade name which name or trade name shall not be identical, nor even so similar to that of another pre-existing fund, that it could cause confusion.
