The general assembly, regular or special, is the maximum authority of the cooperative and its decisions are binding for the Board of Directors, the committees and all its members, present or absent, provided that the same have been adopted pursuant to the articles of incorporation, the bylaws and the applicable laws.
The making of administrative decisions delegated by this chapter to the Board of Directors is hereby excluded from the authority of the assembly.
