Section 17-901 - Law governing(a) Subject to the Constitution of the State of Delaware: (1) The laws of the state, territory, possession, or other jurisdiction or country under which a foreign limited partnership is organized govern its organization and internal affairs and the liability of its limited partners; and(2) A foreign limited partnership may not be denied registration by reason of any difference between those laws and the laws of the State of Delaware.(b) A foreign limited partnership shall be subject to § 17-106 of this title.63 Del.
