Section 306 - Quorum and voting(a) The number of Board members who must be present in order to have a quorum and conduct business is the majority of appointed members. A vacancy on the Board is not counted to determine whether quorum is met.(b) An affirmative vote of a majority of Board members is required to approve an act of the Board.
