Section 16-39-203 - Notice filing(a) For issuers offering or selling securities in compliance with the Securities Act, Regulation D, 17 CFR section 230.505, a notice filing shall be made no later than fifteen calendar days after the first sale is made in this State. The notice filing shall consist of:(1) One signed copy of the Form D currently updated, and the appendix thereto;(2) An executed consent to service of process (Form U-2); and(3) The filing fee set forth in section 16-39103.(b) Upon written request of the commissioner, the issuer shall provide copies of information furnished in tangible form, including by electronic transmission, by the issuer to offerees.(c) Amendments.
