The quorum of a committee shall consist of a majority of the voting members of the committee.
A Board committee may meet and hold discussions in the absence of a quorum; however, no recommendations to the Board or other matters may be acted upon in the absence of a quorum.
Committee meetings shall be held in accordance with a schedule established by the committee chairperson with notice to the Chairperson of the Board and President.
The chairperson of a committee may call a meeting of the committee by notifying the President of the date, time, and purpose of the special meeting. Committee meetings shall be public; provided that the chairperson may elect to go into executive session for matters permitted under Section 105.11.
Notice of committee meetings shall be given to members of the Board and public in accordance with Section 105.5.
The chairperson of the committee shall present recommendations of the committee to the Board in the form of a written committee report. The committee report may also contain a report of other items discussed or received by the committee for the information of the Board.
Committees of the Board, including the Executive Committee and Committee of the Whole, may meet in executive session in accordance with the provisions of § 105.12.
