Rule 19-2705 - COMMITTEES
2705.1

The standing committees of the Board shall consist of a Budget and Finance Committee and a Personnel Committee.

2705.2

The Board may create one or more additional committees as it deems appropriate to conduct the affairs, or any aspect of the affairs, of the Board.

2705.3

The creation of any committee shall be approved by a majority of all members.

2705.4

Committees shall consist of two or more members of the Board who shall be appointed by the Chairperson. The committee chair shall be designated by the Chairperson.

2705.5

Committees may, to the extent specified by the Board, exercise the authority of the Board, provided, however, that no committee may:

(a) Authorize disposition of Commission property;
(b) Authorize disbursement of Commission funds in excess of $100,000;
(c) Authorize any contract or agreement that can reasonably be expected to create a liability or obligation of the Commission in excess of $100,000;
(d) Authorize any change order, addendum or amendment to an existing contract or agreement, that can reasonably be expected to create an aggregate liability or obligation of the Commission in excess of $100,000;
(e) Elect, appoint, or remove members or fill vacancies on the Board or any of its committees; or
(f) Adopt, amend, or repeal these By-Laws.
2705.6

The provisions of these By-Laws governing meetings, action without meetings, notice and waiver of notice, quorum and voting requirements shall apply to committees and members as well.

2705.7

The Board may also create one or more advisory committees, which may include, but not be limited to, technical advisory committees and volunteer committees. Members of advisory committees need not be members of the Board, but at least one member of the Board shall serve on each such advisory committee.

2705.8

The Board may also identify task forces as required. Task forces shall be composed of at least one member of the Board and may include special advisors and others interested in serving.

2705.9

The Board may nominate and select special advisors not limited to financial advisors, accountants and legal counsel, to advise the Commission on matters relevant to its functions.

2705.10

Unless specifically authorized, advisory committees, task forces, and special advisors shall have no power to act on behalf of, or exercise the authority of the Board, but may make recommendations to the Board.
