R. Civ. P. Rule 12(b)(1), (6), and Rule 9(b), dismissing all Counterclaims in the Second Amended Answer with Counterclaims for failure to allege facts sufficient to invoke the Court’s diversity jurisdiction, dismissing all Counterclaims with prejudice for failure to state a claim upon which relief can be granted, for failure to plead a misrepresentation claim with sufficient particularity, dismissing the Defendants’ pursuant to the statutes of limitations, and upon documentary evidence that rebuts the Counterclaims as a matter of law.
