INTRODUCTION On July 13, 2020, Plaintiff Fremont Union High School District (“District”) filed its Motion for Order and Judgment and Validation (“Motion”) in this validation proceeding. (Declaration of Reid D. Shannon (“Shannon Decl.”) EX. 1.) Following notice by publication, no party has appeared in opposition t0 the District, and the time for any such appearance has expired. (Shannon Decl. EX. 1 at Mem, p. 3.) The District filed the Motion Without a hearing date pursuant t0 the “Changes t0 Court Operations,” effective March 17, 2020, and the Clerk subsequently assigned a hearing date 0f October 8, 2020, at 9:00 am. in Department 6. (Shannon Decl. 1T4.) The District now applies t0 shorten the time to hear the Motion and advance the hearing date t0 the earliest available hearing date. II. GOOD CAUSE EXISTS TO SHORTEN TIME AND ADVANCE THE HEARING DATE IN THIS VALIDATION PROCEEDING “A central theme in the validating procedures is speedy determination 0f the validity 0f the public agency’s action.” (Friedland v. City ofLong Beach (1998) 62 Ca1.App.4th 835, 842, citation and punctuation omitted.) Accordingly, Code of Civil Procedure section 867 provides that validation actions “shall be given preference over all other civil actions before the court in the matter of setting the same for hearing or trial, and in hearing the same, to the end that such actions shall be speedily heard and determined.” (Emphasis added.) There is good cause t0 shorten time to hear the Motion and advance the hearing date because the validation statutes entitle the District to a prompt determination of the validity of the lease-leaseback contract that is the subj ect of this validation proceeding. Moreover, n0 one will be prejudiced by granting this ex parte application because the time has expired for any interested person to contest the validation proceeding. As explained in the Motion, the District completed publication of Summons on April 16, 2020. (Shannon Decl. EX. 1 at Mem., p. 3.) Thereafter, any interested person had only until June 1, 2020, t0 appear in this action and answer the Complaint. (Id.) No one has appeared to date. (Shannon Decl. at 115.) BACKGROUND A. The Lease-Leaseback Agreement. Education Code section 17406 authorizes a governing board of a school district t0 lease property currently owned by the district t0 any person, firm, or corporation for a minimum of $1 per year provided the lease requires the other party t0 construct (0r provide for the construction of) a building or buildings upon the subject property and that title t0 the subj ect property vests in the school district at the expiration of the lease term. This is commonly known as the lease- leaseback process. The lease-leaseback contract must be awarded based 0n a competitive solicitation process. (Ed. Code, § 17406, subd. (a)(2).) The Board of Trustees (“Board”) for Plaintiff Fremont Union High School District (“District”) previously adopted and published required procedures and guidelines (“Best Value Methodology”) for evaluating the qualifications 0f proposed developers t0 ensure the best value selections by the District are conducted in a fair and impartial manner pursuant t0 Education Code section 17406. (Declaration 0f Reid D. Shannon (“Shannon Decl.”), Ex. 1 at p. 3.) In October 2019, the District incorporated the Best Value Methodology in a Request for Qualifications and Proposals (“RFQ/P”) for the development and construction of certain improvements, known as the Homestead High School Building B Seismic Upgrade and Classroom Modernization Project (“Project”), located at 21370 Homestead Road, Cupertino, California 95014 (“Project Site”). (Shannon Decl. EX. 1 at p. 3.) The District publicly advertised the RFQ/P once a week for two weeks. (Id.) The District received proposals from two potential developers in response t0 the RFQ/P. (Shannon Decl. EX. 1 at p. 23.) The District ranked the proposals in accordance With the adopted Best Value Methodology and taking into consideration the proposers’ demonstrated competence and professional qualifications necessary for the satisfactory performance 0f the services required. (Id. at p. 3) Blach Construction Company (“Developer”) was the highest ranked proposer. (Shannon Decl. EX. 3.) Under the Lease-Leaseback Agreement, Developer agreed to lease the land at the Project Site from the District, develop and construct the Project, and lease back the Project Site with the improvements thereon to the District. True and correct copies of the Site Lease and Facilities Lease are attached t0 the Complaint for Validation (“Complaint”) as Exhibits A and B. (Shannon Decl. 116.) B. The Validation Action The District filed its Complaint, pursuant t0 Code 0f Civil Procedure section 860 et seq. and Government Code section 53510 et seq., on March 12, 2020, t0 confirm the validity 0f the Lease-Leaseback Agreement. (Shannon Decl. 117.) In accordance With Code 0f Civil Procedure section 861, the District published the Summons in the Mercury News once a week for three successive weeks, commencing 0n March 26, 2020. (Id. at 119 & EX. 4.) Publication 0f Summons was complete 0n April 16, 2020, Which is 21 days after initial publication. (See Gov. Code, § 6063.) The deadline for any interested person t0 respond to the Complaint was 10 days after completion 0f service 0f Summons by publication. (Code CiV. Proc., § 861.1; Shannon Decl. EX. 4.) This deadline would have been April 27, 2020, accounting for the 10th day falling on a Sunday. However, under the General Orders issued by Presiding Judge Deborah A. Ryan in response to COVID-19, the dates of March 17, 2020, through May 29, 2020, are deemed holidays for computing the time for filing papers with the court. Therefore, the deadline t0 respond was extended t0 the next court day-i.e., June 1, 2020. To date, n0 one has appeared in this action 0r otherwise come forward t0 contest the validity 0f the Lease-Leaseback Agreement that is the subject of this action. (Shannon Decl. THE DISTRICT IS ENTITLED TO IMMEDIATE JUDGMENT A. The Lease-Leaseback Agreement Is Subiect t0 Validation. Government Code section 53511 provides that a local agency may bring an action t0 determine the validity of its bonds, warrants, contracts, obligations or evidence of indebtedness pursuant t0 Code of Civil Procedure section 860 et seq. Validation actions provide expedient, uniform procedures by Which public agencies can obtain binding judgments. (Friedland v. City 0f Long Beach (1998) 62 Cal.App.4th 835, 843.) Because a validation action is an in rem proceeding (Code CiV. Proc., § 860), it provides a single, dispositive and final judgment, settling the validity 0f the action in question. (Committee for Responsible Planning v. City 0f Indian Wells (1990) 225 Ca1.App.3d 191, 196-97.) B. Publication of Summons Established the Court’s Jurisdiction Over All Interested Persons. In a validation action, jurisdiction over “all interested persons” is established by publishing a summons in a newspaper of general circulation in the county Where the action is pending, once a week for three consecutive weeks. (Code Civ. Proc., § 861; Gov. Code, § 6063.) Service by publication is complete 21 days after the date 0f first publication. (Gov. Code, § 6063.) The summons must contain a notice that written responses t0 the complaint must be filed “not later than the date specified in the summons, which date shall be 10 0r more days after the completion 0f publication 0f the summons.” (Code Civ. Proc., § 861.1.) Jurisdiction is complete after the date specified in the summons. (Code Civ. Proc., § 862.) The Court 0f Appeal has explained: “section 861 does not explicitly require that a court order for publication be obtained under the validation law, but the statutory scheme anticipates that the courtm participate in creating a sufficient notice scheme.” (Community Youth Athletic Center v. City ofNational City (2009) 170 Cal.App.4th 416, 426, emphasis added.) The District previously intended to obtain a Court order for publication prior t0 publishing the Summons but this was complicated by the COVID-19 pandemic. On Thursday, March 12, 2020, along with filing the Complaint, the District filed an eX parte application for order authorizing service by publication. (Shannon Decl. 1B.) (Id.) Counsel for the District intended t0 return to Court again to apply ex part6 soon after, but Santa Clara County issued a Shelter in Place Order 0n March 16, 2020. (Id.) Accordingly, consistent With Code of Civil Procedure section 861 and Community Youth Athletic Center, supra, the District proceeded with publication 0f the Summons and now asks the Court t0 find that the publication 0f the Summons was sufficient notice. The Court should find that the notice provided by the District was sufficient t0 establish this Court’s jurisdiction over all interested persons under Code of Civil Procedure section 861 and that further notice is not required. The notice provided by the District was sufficient because: o The District published the Summons in the manner required by Code 0f Civil Procedure section 861. Specifically, the District published the Summons in the Mercury News, Which is a newspaper 0f general circulation in Santa Clara County, for three consecutive weeks (March 26, 2020, April 4, 2020, and April 9, 2020). (Shannon Decl. EX. 4.) 0 The Summons was properly directed at all persons interested in the matter and contained the notice, specified date, summary of the matter, and all other information required by Code of Civil Procedure section 861.1. (Shannon Decl. EX. 4.) o There is no other reasonably practical means 0f providing notice. No persons responded 0r expressed an interest in this matter, nor has any person filed any action contesting the validity 0f the Lease-Leaseback Agreement. Therefore, there is n0 one to serve by other means With the Summons and Complaint. (Shannon Decl. WIO-l 1.) Accordingly, the Court should find that the District has satisfied the requirements of Code of Civil Procedure section 861 such that the Court has jurisdiction over all interested persons. C. N0 One Challenged the Lease-Leaseback Agreement, Therefore This Matter Should Proceed to an Order and Judgment of Validity. Any interested person had only 10 days from completion 0f the publication 0f Summons t0 appear in this action and respond t0 the Complaint. (Code CiV. Proc., §§ 861.1, 862.) Pursuant to AB 1200 and the collective bargaining agreement public disclosure requirements of Government Code Section 3547.5, a public hearing will be held at a regularly scheduled meeting of the Governing Board of the Fremont Union High School District for the purpose of receiving input from parents, teachers and members of the community regarding disclosure of collective bargaining costs. Comments from the Superintendent Superintendent Polly Bove complimented the Principals and her executive team for the leadership they have shown in dealing with the Coronavirus crisis. Superintendent and Staff 22. Future Agenda Items Creating a COVID-19 Task Force was discussed. The Task Force would include Bill Wilson and Rosa Kim, PTA Presidents, FEA and CSEA Representatives, Student Board member Dan Sachs and other students, Graham Clark, Rachel Zlotziver and Superintendent Bove. The Board was in agreement to form this Task Force. Jeff Moe received a request for a letter to support the use of 2016 Measure B Funds for the Homestead SRZS Project. The letter needs to be submitted to the Valley Transportation Authority by March 20. It was the consensus of the Board for Superintendent Bove to send the letter on their behalf given the time constraints. 23. Calendar Coordination and Scheduling The March 24 and April 7 Board meetings will be moved back to the District Office. Superintendent Bove suggested a Study Session be added to the March 24 meeting to discuss the EMC Annual Survey. Bove reported that Cupertino Union School District is planning to form a Citizen's Advisory Committee and have asked her tojoin the committee. She asked the Board for any thoughts that she can share with them on how our District can be the most helpful to them.
