AEU Holdings, LLC (“AEUH”), AEU Benefits, LLC (“AEUB”), Stephen M. Satler, (“Satler”) and Steven Goldberg (“Goldberg”) (collectively “the AEU Defendants”) hereby move to dismiss the Counter/Cross and Third Party Complaint of Black Wolf Consulting, Inc. (“Black Case: 1:17-cv-07931 Document #: 382 Filed: 05/22/19 Page 1 of 3 PageID #:5393 Wolf”) (Doc. No. 368) (hereinafter “CCTPC”) pursuant to Federal Rules of Civil Procedure 12(b)(2), 12(b)(3) and 12(b)(6). 1. In support of this motion, the AEU Defendants rely on and incorporate by reference their contemporaneously filed Memorandum in Support of Motion to Dismiss (the “Memorandum”) as well as Exhibits A-G submitted with Memorandum. 2. As set forth in detail in the Memorandum, the CCPTC is subject to dismissal as: i) it represents the prohibited practice of claim splitting and filing duplicative claims; ii) the Court lacks personal jurisdiction over the AEU Defendants; and iii) venue is improper with respect to the claims addressed to the AEU Defendants. WHEREFORE, the AEU Defendants respectfully request that the Court enter an order: (a) granting this motion in its entirety; (b) dismissing the CCPTC; and (c) granting such additional or other relief as the Court deems just and appropriate.
