Case 29–CA–20998 April 12, 2005 SUPPLEMENTAL DECISION AND ORDER BY CHAIRMAN BATTISTA AND MEMBERS LIEBMAN AND SCHAUMBER The General Counsel seeks a default judgment in this case on the ground that the Respondents have failed to file an answer to the compliance specification. On November 8, 1997, the National Labor Relations Board issued a Decision and Order1 that, among other things, ordered Respondent Modern Towel & Linen Supply Service (Respondent Modern Towel), its officers, agents, successors, and assigns, to make unit employees whole for any loss of earnings and benefits suffered as a result of its unlawful refusal to execute and comply with its collective-bargaining agreement with the Union. On April 7, 1998, the United States Court of Appeals for the Second Circuit entered its judgment2 enforcing in full the Board’s Order. Thereafter, on July 19, 2000, the court found that Respondent Modern Towel was in con- tempt of the court’s April 7, 1998 judgment and ordered the Respondent to take specific steps to purge itself of contempt. A controversy having arisen over the amount of back- pay due the employees, on November 30, 2004, the Re- gional Director issued a compliance specification and notice of hearing against the Respondents alleging the amounts due under the Board’s Order, and notifying the Respondents that they should file a timely answer com- plying with the Board’s Rules and Regulations. The compliance specification alleges that, at all material times, Respondents Modern Towel, TPD Corporation (TPD), Todd & Isaac Services, LLC d/b/a Rainbow Linen (Rainbow Linen), and T&T Laundry Corp. d/b/a Oceana Linen (Oceana Linen) have been affiliated busi- ness enterprises with common officers, ownership, direc- tors, management, and supervision; have formulated and administered a common labor-relations policy; have shared common premises and facilities; have provided services for and made sales to each other; have inter- changed personnel with each other and have held them- selves out to the public as a single-integrated business 1 324 NLRB No. 190 (not reported in Board volumes). 2 No. 98-4094. enterprise. Accordingly, the compliance specification alleges that the Respondents constitute a single-business enterprise and a single employer. The compliance specification also alleges that Re- spondent Modern Towel established Respondent TPD as a subordinate instrument to and disguised continuance of Respondent Modern Towel; that Respondent TPD estab- lished Respondent Rainbow Linen as a subordinate in- strument to and disguised continuance of Respondents Modern Towel and TPD; and that Respondent Rainbow Linen established Respondent Oceana Linen as a subor- dinate instrument to and disguised continuance of Re- spondents Modern Towel, TPD, and Rainbow Linen. Thus, the compliance specification alleges that Respon- dents Modern Towel, TPD, Rainbow Linen, and Oceana Linen are alter egos of one another, and are each jointly and severally liable to comply with the terms of the Board’s Order. Finally, the compliance specification alleges that Todd Pincus and Joyce Pincus are employers under the Act, are alter egos of Respondents, and there- fore also are jointly and severally liable to comply with the Board’s Order.3 Although properly served with copies of the compli- ance specification, the Respondents failed to file an an- swer by the December 21, 2004 due date. By letter dated December 30, 2004, counsel for the General Counsel advised the Respondents that no answer to the compliance specification had been received and that unless an answer was filed by January 10, 2005, a motion for default judgment would be filed. Neverthe- less, the Respondents did not file an answer. On January 14, 2005, the General Counsel filed with the Board a Motion for Default Judgment, with exhibits attached. On January 24, 2005, the Board issued an or- der transferring the proceeding to the Board and a Notice to Show Cause why the motion should not be granted. The Respondents did not file a response. The allegations in the motion and in the compliance specification are therefore undisputed. 3 Todd Pincus is alleged to be an officer and shareholder of Respon- dents TPD, Rainbow Linen, and Oceana Linen, and to have been per- sonally responsible for and to have had full knowledge of these entities’ affairs and their corporate policies and operations. Joyce Pincus is alleged to be an officer and shareholder of Respondent Oceana Linen, and to have been personally responsible for and to have had full knowl- edge of its affairs and its corporate policies and operations. In addition, the compliance specification alleges that, at all material times, Respon- dents TPD, Rainbow Linen, and Oceana Linen have been undercapital- ized, have disregarded the corporate form, have transferred corporate assets without fair consideration, have failed to maintain an arm’s- length relationship between and among themselves, and have used corporate assets to pay the personal expenses of Todd Pincus and Joyce Pincus. DECISIONS OF THE NATIONAL LABOR RELATIONS BOARD494 Ruling on Motion for Default Judgment Section 102.56(a) of the Board’s Rules and Regula- tions provides that a respondent shall file an answer within 21 days from service of a compliance specifica- tion. Section 102.56(c) provides that if the respondent fails to file an answer to the specification within the time prescribed by this section, the Board may, either with or without taking evidence in support of the allegations of the specification and without further notice to the re- spondent, find the specification to be true and enter such order as may be appropriate. According to the uncontroverted allegations of the Mo- tion for Default Judgment, the Respondents, despite hav- ing been advised of the filing requirements, have failed to file an answer to the compliance specification. In the absence of good cause for the Respondents’ failure to file an answer, we deem the allegations in the compliance specification to be admitted as true, and grant the Gen- eral Counsel’s motion for default judgment. Accord- ingly, we conclude that the net backpay due the unit em- ployees is as stated in the compliance specification and we will order payment by the Respondents of those amounts to the employees, plus interest accrued to the date of payment, minus tax withholdings required by Federal, State, and local laws.4 ORDER The National Labor Relations Board orders that the Respondents, Modern Towel & Linen Supply Service, and its alter egos TPD Corporation, Todd & Isaac Ser- vices, LLC d/b/a Rainbow Linen, T&T Laundry Corp. d/b/a Oceana Linen, Todd Pincus, and Joyce Pincus, their officers, agents, successors, and assigns, shall, jointly and severally, make whole the individuals named in the attached Appendices A–E, by paying them the amounts opposite their names, plus interest as set forth in New Horizons for the Retarded, 283 NLRB 1173 (1987), and minus tax withholdings required by Federal, State, and local laws. Summarizing these amounts, the Re- spondents are obligated to pay the employees backpay totaling $295,977.80, plus interest and minus withhold- ings. 4 The compliance specification states that Respondent Modern Towel never complied with a request to provide all payroll records for all employees employed from November 27, 1996. The Regional Di- rector reserved the right to amend the compliance specification to in- clude other, unnamed discriminatees upon receipt of such payroll re- cords.
