[PROPOSED] ORDER


WHEREAS, this Court on March 7, 2005 granted the Petition of State Street Bank Trust Company ("State Street") for permission to appear before the Court as an interested party in the consolidated Tittle v. Enron Corp. litigation, to fulfill its independent fiduciary duties owed to the Enron Plans and their respective participants and beneficiaries, who are members of the putative Tittle class and various proposed settlement classes in Tittle, and

Whereas, Consulting Fiduciaries, Inc. ("CFI") has been duly appointed to succeed State Street as independent fiduciary of the Enron Plans in connection with, inter alia, all matters bearing on the Tittle litigation, it is therefore:

ORDERED that:

State Street and CFI's application for CFI to be substituted for State Street as an interested party is GRANTED, and CFI is hereafter permitted to appear before the Court as an interested party in the consolidated Tittle v. Enron Corp. litigation, to fulfill its independent fiduciary duties owed to the Enron Plans and their respective participants and beneficiaries, who are members of the putative Tittle class and various proposed settlement classes in Tittle.
