Both counts are deficient and fail to state a claim for which relief can be granted. See, e.g., FED. R. CIV. P. 12(b)(6). Therefore, SWEPI LP requests that this Court grant its Motion and dismiss the Complaint, with prejudice. A brief in support of this Motion will be filed pursuant to Local Rule 7.5.
