Amendments Adopted to Delaware General Corporation Law

The Delaware General Assembly recently adopted amendments to the Delaware General Corporation Law that, among other things, (i) enable Delaware corporations to adopt procedures to strengthen stockholder access to proxy materials in director elections and (ii) clarify the circumstances in which a corporation can limit the rights of directors to receive indemnification and advancement of expenses. The amendments were signed into law April 10, 2009 and become effective August 1, 2009. Corporations organized in Delaware should become familiar with the amendments to assess how they may impact their corporate governance.
