I. Both defendants clearly guilty of fraud. Brown v. Ohman, 209 Miss. 282, 42 So.2d 209; Citizens National Bank of Meridian v. Fay Egan Co. v. Louis Cohn Bros., 158 Miss. 733, 130 So. 290; Mayfield Motor Co. v. Parker, 222 Miss. 152, 75 So.2d 435; McNeer Dodd v. Norfleet, 113 Miss. 611, 74 So. 577; Reed v. Charping, 207 Miss. 1, 41 So.2d 11; Rhyne v. Gammill, 215 Miss. 68, 60 So.2d 727.

II. Both defendants liable for fraudulent statements of Smith and others. 2 Am. Jur., Agency, Sec. 326 pp. 256-257; Anno. 99 A.L.R. 408.

III. There was a breach of warrant in all Activite Concentrate shipped to Mississippi by Activite International, Inc., for the account of Southern Activite, Inc. Missouri Bag Co. v. Chemical Delinting Co., 214 Miss. 13, 58 So.2d 71, 33 A.L.R. 2d 501; Viking Refrigerators v. Farrell, 180 Miss. 181, 176 So. 910.

IV. Damages sought as the direct, natural and proximate result of the fraud and breach of warranty and were proven with reasonable certainty. Billups Petroleum Co. v. Hardin's Bakeries, 217 Miss. 24, 63 So.2d 543, 64 So.2d 764; Doherty v. Mississippi Power Co., 178 Miss. 204, 173 So. 287; Estell v. Myers, 54 Miss. 174; Hawkins v. Peerless Motor Car Co., 212 Mass. 352, 99 N.E. 221; Southwest Ice Dairy Products Co. v. Faulkenberry, 203 Okla. 279, 220 P.2d 257, 17 A.L.R. 2d 1373; Sovereign Camp, W.O.W. v. Boykin, 182 Miss. 181, 176 So. 910; Williams v. Clark, 236 Miss. 423, 110 So.2d 365.

I. The Chancellor was correct in the conclusion that there was no fraud or deceit and that there was no personal guarantee against financial loss. Deshatreaux v. II. Complainant failed to justify any claim for damages on account of inactive material. Missouri Bag Co. v. Chemical Delinting Co., 214 Miss. 13, 58 So.2d 71; Stribling Bros. Machinery Co. v. Girod Co., supra.


We have carefully reviewed the record and the briefs in this case, and are of the opinion that the conclusions reached by the chancellor, both as to the law and the facts, are correct.

It follows, therefore, that the cause should be and is affirmed.

Affirmed.
