FINAL JUDGMENT


In conformity with the Order Adopting Magistrate Judge's Memorandum and Recommendation signed today, the court DECLARES that the Policy at issue does not provide coverage to defendants for the claims and damages that are the subject of the Underlying Consolidated Lawsuits, and that plaintiff is under no obligation to advance defense costs or to indemnify defendants in connection with any judgment or settlement in the Underlying Consolidated Lawsuits.

It is further ADJUDGED that defendants take nothing against plaintiff on their breach of contract counterclaim.

All relief not granted herein is DENIED.

This is a FINAL JUDGMENT.
